OVERVIEW

Enhancing the deal experience

Mergers and acquisitions can lead to synergies, but maximizing their value takes expert legal guidance and a deep understanding of the potential economic and business consequences of these transactions. Closing deals also takes a village: legal counsel must sort through a variety of issues and work with a number of stakeholders to deliver a seamless transaction.

Dunlap Bennett & Ludwig’s mergers and acquisitions team has the expertise and legal acumen to guide clients through complex deals. And we complement our mergers and acquisitions practice with expertise that addresses the issues involved when companies combine, including antitrust, employment law, intellectual property, and real estate matters.

Our experience with mergers and acquisitions

Dunlap Bennett & Ludwig’s mergers and acquisitions team has substantial experience handling complex transactions for private and public companies across a range of industries. We conduct due diligence to identify potential risks in deals and to help protect our clients’ assets.

Our law firm also handles other legal issues that frequently arise in transactions. For example, we handle antitrust matters that require us to guide clients through pre-merger reviews with government agencies to ensure efficiency and desirable outcomes. Our labor and employment lawyers audit workplaces to ensure compliance with federal, state, and local laws and regulations. Our intellectual property law team provides insights into the valuation and protection of trademarks, patents, and service marks in transactions. And our real estate lawyers work with companies in the acquisition and sale of business and commercial real estate properties. Our cross-disciplinary expertise gives us the foresight to anticipate problems and market and industry trends that may affect your transactions.

What we do

  • Assist clients with structuring and negotiating complex business transactions, including mergers, acquisitions, corporate restructurings, divestitures of stock and assets, exchange offers, formation and dissolution of joint ventures, leveraged buyouts, management buyouts, and tender offers
  • Conduct due diligence during business sales and acquisitions and advise on potential risks
  • Counsel clients on risks that accompany transactions, including antitrust, labor and employment, real estate, government contracts, and litigation and regulatory issues
