Our experience in the nonprofit sector

Dunlap Bennett & Ludwig represents a diverse group of nonprofit organizations, including universities, schools, hospitals, churches, charitable foundations, veterans groups, cultural institutions, fraternal organizations, social clubs, trade associations, service organizations, cooperatives, and tax-exempt government units.

Our multidisciplinary nonprofit team works with nonprofit organizations through their entire lifecycle, from formation through dissolution. We help not-for-profit organizations qualify for federal and state tax exemption and a variety of formation and governance issues, including Form 990 and IRS compliance. We advise clients on charitable solicitations and registration requirements and the applicable tax rules. We also work with clients on matters that span our practice areas, from contracts to employment law, intellectual property, and other regulatory matters.

  • Advise boards of directors on ethics, governance, fiduciary responsibilities, and conflicts of interest
  • Counsel nonprofits on tax rules and regulations, including sales, use, and income tax
  • Draft board resolutions
  • Negotiate the terms and conditions of major gifts
  • Represent nonprofits in business transactions, including mergers and acquisitions, divestitures, and affiliations
  • Audit practices and policies for compliance with laws and regulations and correct existing violations
  • Manage audits and proceedings by the IRS, state attorneys general, and state government agencies

Intern Program

As part of our effort to recruit, develop and retail the best and brightest attorneys, Dunlap Bennett & Ludwig offers a summer intern program for promising law school students who are looking to work as part of an innovative and incredibly successful team. With a global team of lawyers, selected candidates are able to work on high level projects in a collaborative space.

Paralegals and Legal Support Staff

At Dunlap Bennett & Ludwig, our team of paralegals and staff work together collaboratively along side our attorneys toward a common goal. We have created a positive work environment where our paralegals and legal assistants work to successfully reach firm-wide goals and support each other to combine individual strengths to enhance team performance. They regularly assist our attorneys with organizing and maintaining files, conducting legal research, and preparing documents.
