Strengthening joint ventures

Federal contractor teaming agreements and subcontract agreements can be difficult to navigate, especially if a business is new to the government market. Joint ventures also raise a variety of complex issues, both in negotiations and performance, that can lead to disputes.

Dunlap Bennett & Ludwig’s government contracts lawyers, led by a former government procurement lawyer and a former Veterans Affairs and Small Business Administration Presidential appointee and executive, advise clients on federal contractor teaming agreements and subcontract agreements. We also represent clients in contract disputes in federal and state courts and before federal and state regulatory agencies.

Our work on teaming and subcontract agreements

The team at Dunlap Bennett & Ludwig helps clients understand the complexities of government contracts and negotiates on their behalf. Whether the arrangement results from the SBA’s Contractor Team Arrangement (CTA) or a private agreement to submit a response to an RFP or other solicitation, our experienced lawyers help clients navigate all types of work-share agreements. Additionally, our firm counsels clients on responsibility and integrity issues, including compliance programs, fraud investigations, bid protests, and suspension and debarment.

We also advise clients on other contract-related issues, including protecting intellectual property rights in computer software and technical data, state and local contracting, and performance problems relating to terminations, specifications, and payment or invoicing issues.

  • Assist clients with mentor-protégé agreements, joint venture agreements, and nondisclosure and confidentiality agreements
  • Advise clients on negotiating enforceable teaming agreements
  • Prepare requests for equitable adjustments and certified claims
  • Represent clients in matters involving audits, suspension and debarment proceedings, and other federal compliance and regulatory investigations
  • Counsel clients on responsibility, integrity, and compliance issues related to the Procurement Integrity Act, the Freedom of Information Act, the False Claims Act, the Anti-Kickback Act, the Foreign Corrupt Practices Act, and conflict-of-interest statutes
  • Handle disputes involving workshare, profit, exclusivity, hiring of employees, nonperformance and delay, and breaches of nondisclosure
