Biography

Brandon is a highly skilled transactional attorney with experience in corporate law, government contracts, export control compliance, cybersecurity/data protection and real estate. He is licensed to practice in Delaware, Maryland and Florida, providing clients with comprehensive legal support across multiple jurisdictions. 

Brandon advises Delaware LLCs and corporations at every stage of the business lifecycle, from entity formation and governance to fundraising and compliance. He works closely... with startups and established businesses alike, guiding them through shareholder agreements, operating agreements, capital structuring, and corporate governance matters. His expertise in navigating Delaware’s robust corporate laws ensures that clients are well-positioned for growth and long-term success.  

Brandon has also developed a deep understanding of Federal Acquisition Regulations (FAR) and state and local procurement laws. He has successfully guided government contractors through complex contract negotiations, performance compliance, and regulatory audits thereby maximizing opportunities while mitigating risk. Brandon also advises government contractors on export control compliance, helping clients navigate the intricacies of the International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR) to ensure proper licensing and adherence to federal guidelines. 

Further expanding his practice, Brandon advises on cybersecurity and data protection, helping government contractors understand and implement necessary safeguards to protect sensitive information and comply with relevant cybersecurity regulations. He works closely with Master Service Providers (MSPs) and other entities to develop tailored compliance frameworks, ensuring they are well-prepared to handle potential data breaches and security incidents. 

Brandon has extensive experience representing clients in commercial and residential real estate transactions, including navigating the complexities of property acquisition, financing, and leasing. His sharp negotiation skills and meticulous contract drafting ensure that clients’ interests are protected, while his background in creditor actions equips him with effective strategies to address disputes and financial challenges. 

In addition, Brandon serves as Delaware counsel for a regional financial institution, ensuring compliance with state regulations and facilitating smooth transactional processes. His role involved collaborating with various stakeholders to address legal requirements, further demonstrating his commitment to client success and operational excellence. 

LEADERSHIP & COMMUNITY INVOLVEMENT 

Brandon is an active leader in his community in Sussex County, Delaware, currently serving on the Board of Directors for the River Soccer Club, where he helps guide the organization’s growth and development. His commitment to community service is also evident in his previous role as Director of the Bethany-Fenwick Area Chamber of Commerce, where he promoted local business interests and contributed to fostering regional economic growth.  

In his personal life, Brandon enjoys spending time at the beach with his dog, Rosalita. He is an avid boater, runner, and snowboarder, and loves exploring new destinations through international travel. His well-rounded perspective and passion for life enhance his ability to bring creativity and dedication to his legal practice.
